Joint Venture Real Estate Services I, LLC (the “Company”) is in the business of purchasing, managing and the sale of performing and nonperforming senior residential mortgages (the “Mortgages”) in the United States and in opportunistic jurisdictions in Europe. The Company seeks capital to purchase, on an ongoing basis, the Mortgages, by itself, or in association with the Manager’s Capital Partner and to purchase a servicing platform that operates in the same jurisdictions. The Company will be able to utilize the operational backbone of a servicer to support and compound the value received from the Mortgages.
Though the Company targets portfolios that are specifically senior secured residential mortgages, such portfolios may also contain limited commercial or mixed use real estate, second mortgages and unsecured debt, depending on the purchase structure of the selling entity (typically a bank), and varied on a case by case basis.
Plutos Sama AUM, LLC (the “Manager”) and a large institutional hedge fund (the “Manager’s Capital Partner”) have entered into an agreement with respect to the sourcing, acquisition and disposition of certain assets, including Mortgages, and the minority co-investment therein. The specific economic terms applicable to such agreement and thus the resulting impact on the Company with respect to revenue recognition (including receipt and recognition of net profit) are uncertain and will not be certain until specific transactions are reviewed by the Company and the Manager’s Capital Partner. The Manager will assign its minority interest with the Manager’s Capital Partner to the Company to the extent that the Company is in a position to fulfill the equity requirements of the Manager’s arrangement with the Manager’s Capital Partner.

The Manager of the Company is Plutos Sama AUM, LLC, a Delaware limited liability company, comprised of Distressed Capital Management, LLC ("DCM") in the US market, and Resolution Capital Management ("RCM-US, LLC" or "RCM") in the Central & Eastern European market. DCM and RCM are asset managers with an expertise in real estate development, valuation, securitization, and monetization of US and European residential real estate portfolios. An investment committee of the Manager will be making decisions on behalf of the Company.
This Confidential Offering Memorandum (this “Memorandum”) relates to the offering (the “Offering”) by Joint Venture Real Estate Services I, LLC a Delaware limited liability company (the “Company”), a maximum of 625,000 Series A Preferred Units (the “Series A Units” or the “Units”) (the “Maximum Offering”) solely to purchasers who are “accredited investors” (as that term is defined in section 501 of Regulation D of the Securities Act of 1933, as amended) (each, a “Purchaser”). Each Series A Unit shall be offered at a purchase price of $24.00 per Unit. Upon the sale of a maximum number of Series A Units in this Offering, in addition to any and all rights to ongoing interest payments as further set forth herein, along with any additional payments, the aggregate percentage interests issued to all new holders of Series A Units on an as-converted basis will be equivalent to approximately five percent (5%) of the Company’s total percentage interests on a fully diluted basis, inclusive of any reserved and/or issued phantom units and/or warrants for key management and employees, if any, as of the date hereof.
